FreelanceMedic

Terms of Service

This describes how the system actually behaves - the escrow, the fee, the complaint process, the refusals - checked against the code rather than adapted from a template. That is the part a template gets wrong, and the part that matters if a term is ever tested.

It is still a draft. The classification question in particular needs counsel: these terms say professionals are independent contractors, and whether that holds under Nigerian labour law is not a question software can answer. Get it reviewed before publishing.

The version string recorded against every account at sign-up must match the version published here. If the wording changes, the version changes with it, or every account appears to have agreed to text it never saw.

Version: 2026-10 Last updated: 5 October 2026

1. What FreelanceMedic is

FreelanceMedic is a marketplace. Healthcare facilities post shifts they need covered; licensed healthcare professionals apply for them, work them, and are paid.

We are not an employer and not a staffing agency. We do not employ professionals, we do not supervise clinical work, and we do not direct how anybody does their job. The working relationship is between the facility and the professional.

In practice that means: we do not set the rate, the facility does. We do not decide who works which shift; a professional chooses the shifts they want and may decline any of them. We do not supervise the work, set hours beyond the shift agreed, provide equipment, or require exclusivity. A professional is free to work for anybody, including facilities they never met here.

2. Who may use it

You must be 18 or over.

As a professional, you must hold a current practising licence from the regulator for your clinical division - the PCN, NMCN, MDCN, MLSCN, MRTB, ODORBN or VCN as applicable. We verify it before any facility can see you, and you must keep it current. If your licence lapses, you cannot be hired until it is renewed. That is enforced by the system, not by somebody noticing.

As a facility, you must be a real registered healthcare facility with a CAC registration we can verify, and the person signing up must be authorised to commit it.

You are responsible for the accuracy of what you tell us. Giving a false licence number, a false registration, or somebody else's identity ends your account and may be reported.

3. Accounts

Keep your password to yourself. Anything done through your account is treated as done by you. Tell us immediately if you think somebody else has access.

One account per person or facility. An account may not be shared, sold or transferred.

4. How a hire works

  1. A facility posts a job with shifts, an hourly rate and a location.
  2. Professionals apply, choosing which of the shifts they can work. A professional is not obliged to take every shift in a job.
  3. The facility accepts somebody and pays into escrow at that moment.
  4. The professional works the shifts and logs them.
  5. The facility approves the timesheet, and the money is released.

A placement is live only once payment has cleared. Accepting somebody without paying does not create an obligation on either side.

5. Money

Escrow

When a facility accepts a professional, the full amount is taken from the facility and held. It is not ours and it is not yet the professional's. It is released when the work is done and approved.

This is the core of the arrangement. A professional should know the money exists before travelling to a shift; a facility should not pay for work that has not happened.

What is charged and what is paid

  • The facility pays the shift pay plus a processing fee.
  • The professional receives the shift pay less a 5% service fee.
  • Both figures are shown in full before either side commits.

Release

Money is released when the facility marks the work completed and approves the timesheet. If a facility does nothing, escrow releases itself three days after the last shift. A facility cannot hold a professional's pay indefinitely by inaction.

A shift a professional records as not worked is refunded to the facility out of what is held, before the rest is released.

Payment processing

Payments are handled by Paystack. Card details are entered on Paystack's page and never reach us. Payouts go to the bank account a professional provides, and that account's name must match the professional's registered name - banks reject transfers where it does not.

Taxes

Professionals are responsible for their own tax. We do not deduct it and do not advise on it.

6. Offers

The starter rewards and the first-hire credit are offered once per person or facility, with the first-hire credit available once each calendar year. They are not transferable and have no cash value.

Closing an account and signing up again does not make a spent offer claimable again. We keep a one-way coded record for this purpose, described in the Privacy Policy.

7. Cancelling, not working, and complaints

If a shift is not worked

A professional can record that a shift was not worked. The facility is refunded for it. Recording work that did not happen, or approving work that did not happen, is fraud.

Complaints

Either side may raise a complaint about a placement. Money stays held while a complaint is open. The other side is invited to respond, and FreelanceMedic decides - upholding it, in which case some or all of the payment may be withheld, or dismissing it and releasing in full.

Our decision on how escrow is settled is final as between you and us. It does not stop either of you pursuing the other in any other way.

A professional may ask for one decision to be looked at again.

Cancelling a placement

Either side may leave a placement. The money is returned to whoever it belongs to depending on what had been worked. Repeated cancellation may end an account.

8. Ratings

Facilities rate professionals and professionals rate facilities when a placement completes. Rating is part of completing a placement, not an optional step afterwards - a facility is asked for it at the moment it marks the work done.

Ratings are honest opinions about work done, and they are permanent. A rating can be seen by the person it is about.

Do not use ratings to threaten, extort or retaliate. Offering to change a rating in exchange for anything is a reason to close an account.

9. What you must not do

  • Hold yourself out as licensed when you are not, or use another person's licence
  • Arrange to work around the platform to avoid the fee, having been introduced through it
  • Agree a shift and not turn up, repeatedly
  • Approve work that did not happen, or record work you did not do
  • Upload a document that is not yours, or that is altered
  • Harass, threaten or discriminate against anybody
  • Attempt to reach data that is not yours, or to interfere with the service

Any of these may end your account immediately.

10. Clinical responsibility

The facility is responsible for the care given in it, including supervision, scope of practice, insurance and incident reporting. The professional is responsible for practising within their licence and competence.

We verify that a licence is real and current. We do not assess clinical competence, and verification is not a recommendation.

11. Confidentiality

Using FreelanceMedic gives you access to things that are not yours to pass on: another person's documents, a facility's rates and staffing, and whatever you learn about patients in the course of a shift.

Patient confidentiality is absolute and is owed to the patient and to your regulator, not to us. Nothing in these terms reduces it, and nothing in them requires you to tell us anything about a patient. We do not want it and we do not hold it.

Beyond that, treat what you see here as confidential: a professional's qualifications and documents, a facility's pay rates and how it staffs itself, and anything either side tells the other in the course of arranging work. Do not pass it on, publish it, or use it for anything other than the work at hand.

This does not apply to anything already public, anything you knew before, or anything you are required by law or your regulator to disclose. If you are ordered to disclose something, you may.

These obligations continue after your account closes.

12. Closing your account

You may close your account in the app at any time: Profile > Account > Close your account.

If you no longer have the app, write to freelancemedicng@gmail.com from the address on your account with the subject "Delete my account", or use https://freelancemedic.com/delete-account/. We confirm it is you and close it exactly as the app would, within 30 days and usually far sooner.

Closing is refused while a placement is running, money is held in escrow, a complaint is undecided, or a payment to you is still on its way. Each of those involves somebody other than you. Settle them and the account closes.

Records of money that has moved are kept, stripped of anything identifying. The Privacy Policy explains this.

We may suspend or close an account that breaks these terms. Where we do, money already earned is still owed and will be paid.

13. Your content, and ours

What you upload stays yours - your profile, your photograph, your CV, your certificates, a facility's logo and photographs.

So that we can run the service, you give us permission to store what you upload and show it where it needs to be shown: your profile to facilities you apply to, a facility's details to professionals considering its jobs. That permission is limited to running FreelanceMedic. We do not use your documents, your photograph or your name in advertising, and we do not license them to anybody else.

It ends when you close your account, except where something has to be kept for the reasons set out in the Privacy Policy.

Everything that is ours stays ours: the name, the logo, the software and the design of the service.

Do not upload anything that is not yours to upload.

14. What we promise, and what we do not

We work hard to keep FreelanceMedic running and accurate. We do not promise it will be uninterrupted or free of error.

We do not guarantee that a job will be filled, that a professional will find work, that a facility will be satisfied, or that a professional will turn up. We are the place the two meet and the mechanism by which money moves safely between them.

To the extent the law allows, our liability to you is limited to the fees we earned on the placement the claim concerns. Nothing here limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.

15. If we disagree

Two different things can go wrong, and they are handled differently.

A complaint about a placement - the work, the hours, whether somebody turned up - is decided by us under section 7. That is how escrow gets settled, it is quick, and it is final as between you and us. It is not arbitration and it is not a court.

Anything else - a dispute about these terms, or about us - starts with you writing to us and us trying to sort it out. Please do that first; most things end there.

If that does not settle it, either of us may offer arbitration in Lagos under the Arbitration and Mediation Act 2023, before a single arbitrator, in English. It is quicker and cheaper than a court for most disagreements.

You do not have to accept it. Arbitration here is an option, not a condition of using FreelanceMedic, and declining it costs you nothing. Nothing in these terms stops you taking us to court, complaining to your regulator, to the NDPC, or to the Federal Competition and Consumer Protection Commission.

Deciding how escrow is settled is not a decision about who is right.

16. Changes to these terms

We may change these terms. The version here always governs, and the version string changes whenever the wording does. For a material change we will tell you in the app before it takes effect, and continuing to use FreelanceMedic afterwards means you accept it.

17. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State, where Freelancemedic Limited is registered, have jurisdiction. That does not take away any right you have to bring a claim where you live, if the law gives you one.

18. The rest

These terms, with the Privacy Policy and the Community Policy, are the whole agreement between you and us about FreelanceMedic. They replace anything said before, including any earlier version of these terms.

If a court finds one part unenforceable, the rest still stands, and that part is read as narrowly as it needs to be to work.

Not enforcing something once does not mean giving it up.

You may not transfer your account or your rights under these terms to anybody else. We may transfer ours - to a company that buys the business, for instance - and your rights are unaffected if we do.

Neither of us is liable for a failure caused by something genuinely outside our control.

We write to you by email or in the app. Write to us at the address in section 19.

If somebody else brings a claim against us because of something you did - working without a valid licence, misrepresenting who you are, uploading a document that was not yours, or recording work that did not happen - you cover what that costs us, including reasonable legal fees.

That is deliberately narrow. It covers your own wrongdoing and nothing else: not ordinary disputes about a shift, not anything we got wrong, and not the fact that something went badly. The terms we previously published asked users to indemnify us for any claim arising from their use of the platform at all, which is a far wider thing to ask and not one we need.

Community Policy

Carried over from the previously published version, lightly edited.

This existed on the live site and had no equivalent in the terms written against the code, so it is kept as its own document rather than lost in the replacement. The substance is unchanged; the wording has been tightened and the few places that promised things the software does not do have been corrected.

It sits alongside the Terms of Service. The terms are the contract; this is how we expect people to behave, and breaking it is a reason to close an account.

Why this exists

FreelanceMedic puts strangers into each other's workplaces at short notice. A facility is trusting somebody it has not met with its patients; a professional is travelling to a building they have not seen, to work for people they do not know. That only works if both sides behave predictably.

1. Professionalism

Hold to the standards of your profession. Patient care and patient confidentiality come before anything on this platform, including anything we ask of you.

2. Respect

Treat everybody here as you would a colleague, whatever their role. No abuse, no discrimination, no contempt. Disagree about the work without making it personal.

3. Confidentiality

Patient confidentiality is absolute. Do not discuss a patient here, with us, in a complaint, or in a rating. We do not want that information and we do not hold it.

What you learn about a facility's rates or staffing, or about another professional's qualifications, stays between the people who needed to know it.

4. Licences and the law

Hold the licence your work requires and keep it current. We check it, but the obligation is yours and it does not pause because a shift is booked.

Follow the law and the rules of your regulator. Nothing agreed here overrides either.

5. Doing the work

Turn up, on time, for shifts you accepted. If you cannot, say so as early as you can - a facility that knows at noon can find cover; one that finds out at eight cannot.

Facilities: have the person ready to work when they arrive, and approve the timesheet when the work is done. Escrow releases itself three days after the last shift, but a professional should not have to wait for that.

6. Honesty

Do not misrepresent qualifications, a licence, a registration, or who you are. Do not record work that did not happen, and do not approve work that did not happen. Both are fraud, and both end an account.

7. Payment

Pay through FreelanceMedic. The escrow exists so that a professional knows the money is there before travelling and a facility does not pay for work that has not happened, and neither protection survives a private arrangement.

Having met through the platform and then arranged the work around it to avoid the fee is a reason to close both accounts.

8. Ratings and complaints

Rate honestly. A rating is a view of work done, not a lever.

If something goes wrong, raise a complaint rather than retaliating in a rating. Money stays held while a complaint is open, both sides get to say what happened, and we decide.

9. Harassment

None. Not sexual harassment, not bullying, not discrimination. Reports are investigated and a finding ends an account.

10. The platform itself

Do not attempt to reach data that is not yours, interfere with the service, or manipulate ratings.

11. When this is broken

Depending on what happened: a warning, a suspension, or closure. Where money is involved it is held until the question is settled, and anything genuinely earned is still paid.

An account closed for breaking this policy can ask us to look again, once.

12. Telling us

If something here is wrong, or something happened that this policy does not cover, write to freelancemedicng@gmail.com. We would rather hear it early.
